Enterprise Software-as-a-Service (SaaS) Agreement
This Software-as-a-Service Agreement (“Agreement”) is entered into by and between Zone Logic (“Provider”) and the subscribing organization (“Customer”) as of the effective date of service activation (“Effective Date”).
1. Services
Provider agrees to grant Customer access to the Zone Logic platform (“Service”), a cloud-based security operations system that includes reporting, tracking, and management tools such as incident reporting, ticketing, visitor management, package tracking, asset tracking, and related modules.
2. License & Access
Provider grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.
Customer may:
- Authorize users within its organization
- Configure roles and permissions
- Use the Service in accordance with this Agreement
3. Customer Responsibilities
Customer agrees to:
- Maintain the confidentiality of user credentials
- Ensure all users comply with applicable laws and policies
- Manage access rights and user permissions
- Ensure accuracy and legality of all data entered
4. Data Ownership
All data entered into the Service (“Customer Data”) remains the property of the Customer.
Provider will:
- Process Customer Data solely to deliver the Service
- Not sell or misuse Customer Data
5. Data Security
Provider will implement reasonable administrative, technical, and physical safeguards to protect Customer Data, including:
- Secure cloud hosting environments
- Role-based access controls
- Encryption where applicable
Customer acknowledges that no system is completely secure.
6. Confidentiality
Both parties agree to protect confidential information and not disclose it to third parties without consent, except as required by law.
7. Fees and Payment
Customer agrees to pay all applicable subscription fees as agreed upon.
- Fees may be billed monthly or annually
- Late payments may result in suspension of access
- Pricing may include base platform access and optional add-on modules
8. Term and Termination
8.1 Term
This Agreement remains in effect for the duration of the subscription.
8.2 Termination by Customer
Customer may terminate the Service at any time.
8.3 Termination by Provider
Provider may suspend or terminate access if:
- Customer violates this Agreement
- Payment obligations are not met
- There is suspected misuse or security risk
9. Service Availability
Provider will make reasonable efforts to maintain service availability but does not guarantee uninterrupted access. Maintenance, updates, or unforeseen issues may result in downtime.
10. Support
Provider will offer support services, which may include:
- Email or ticket-based support
- System updates and maintenance
Support levels may vary based on the Customer’s plan.
11. Third-Party Services
The Service may integrate with third-party systems (e.g., email providers, authentication systems). Provider is not responsible for the performance or policies of third-party services.
12. Limitation of Liability
To the maximum extent permitted by law, Provider shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business operations
Provider’s total liability shall not exceed the amount paid by Customer in the preceding 12 months.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
14. Indemnification
Customer agrees to indemnify and hold harmless Provider from any claims, damages, or liabilities arising from:
- Customer’s use of the Service
- Violation of this Agreement
- Misuse of Customer Data
15. Compliance with Laws
Customer is responsible for ensuring that its use of the Service complies with all applicable laws, including data protection and privacy regulations.
16. Changes to the Agreement
Provider may update this Agreement from time to time. Continued use of the Service constitutes acceptance of the updated terms.
17. Governing Law
This Agreement shall be governed by the laws of the State of New York.
18. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
